Terms and Conditions
Definitions
- Goods means the items and services sold by Bentley Secure, including replacements for defective Goods, hardware, documentation and software licenced for your use.
- Contract means the agreement for sale of Goods between Bentley Secure and the Buyer, whether made orally or in writing.
1. General Conditions
- No variation of these Terms is effective unless agreed in writing by a Director of Bentley Secure.
- No other person is authorised to accept, confirm or vary any order or to make any representation, promise or warranty on our behalf.
- These Terms prevail over any terms put forward by you at any stage.
2. Prices
- All prices are quoted in £ sterling and are those ruling on the date of dispatch.
- Where we agree to trade in € (euro), we will specify the conversion rate at order-confirmation and reserve the right to adjust it for exchange-rate fluctuations.
- Prices for scheduled deliveries remain fixed for 90 days from order acceptance.
3. Value Added Tax
Prices exclude VAT, which will be added at the prevailing rate.
4. Documentation
Each order is accompanied by a single invoice.
5. Formation of Contract
- No binding Contract exists until we have accepted your order in writing.
- Our failure to enforce any provision does not waive our right to enforce it later.
6. Quality Assurance
All Goods meet the manufacturer’s standard quality procedures and, where applicable, are approved to BS EN ISO 9001.
7. Country of Origin
Goods may originate outside the EU; the manufacturer’s specification is authoritative.
8. Delivery Methods
- Free standard delivery on orders over £100; orders under £100 incur a £6 charge.
- Express options (e.g. before 10 am, Saturday AM) are available at extra cost.
- Bulky or heavy items (such as safes) may carry additional charges and may not be eligible for all services.
9. Failed Deliveries
If delivery is attempted and no one is available, a £6 re-delivery fee applies. Orders received before 7 pm are dispatched the same day.
10. Descriptive Matter
- All specifications, drawings and particulars are approximate and for guidance only.
- In case of discrepancy, the manufacturer’s description prevails.
- We reserve the right to discontinue or modify any Goods without notice.
11. Performance and Suitability
- Unless expressly warranted in writing by a Director, performance figures are not guaranteed.
- It is your responsibility to ensure that the Goods meet your requirements.
12. Guarantee
- Defects due to faulty materials or workmanship appearing within 12 months of delivery will be remedied by repair or replacement, at our option, provided the Goods are returned carriage-paid with a written claim quoting invoice number and date.
- Software is supplied “as is”; we do not warrant it to be error-free.
- Any additional items added by you must be removed before return; we accept no liability for loss or damage to them.
13. Liability
- Except for death or personal injury caused by our negligence, our total liability is limited to the purchase price of the Goods.
- We exclude liability for loss of profits, business interruption, loss of data or any indirect or consequential losses.
14. Payment Terms
- Payment is due 30 days from invoice date, without deduction.
- Acceptable methods: BACS or credit card (Visa, Mastercard).
- Late payments incur interest at 5% above Barclays base rate, plus recovery costs under the Late Payment of Commercial Debts Act 1998.
15. Risk and Title
- Risk passes to you once Goods are loaded for delivery.
- Title remains with us until full payment is received. Until then, you must store the Goods separately, keep them insured on our behalf, and allow us to recover them if you default.
16. Orders and Special Requirements
- Online orders placed before 7 pm GMT on weekdays are usually dispatched the same day.
- Minimum order value for non-account customers: £25 (prepayment required).
- Special orders are non-returnable and subject to any carriage or small-order charges passed through at cost.
17. Delivery Schedules
- Deliveries are made to UK addresses by any available carrier.
- We may deliver in instalments.
- Third-party deliveries incur a £10 administration fee.
18. Force Majeure
We are not liable for delays caused by events beyond our control (e.g. strikes, natural disasters, regulatory actions). If such an event continues for over one month, either party may terminate the Contract.
19. Intellectual Property
All intellectual property rights in the Goods, website and documentation are owned by the manufacturer or Bentley Secure.
20. Governing Law and Jurisdiction
These Terms and the Contract are governed by the laws of England and Wales. The English courts have exclusive jurisdiction.
21. Statutory Rights
Nothing in these Terms affects your statutory rights as a consumer under the Sale of Goods Act 1979 or the Unfair Contract Terms Act 1977.
